Visier Insurance Schedule

This document describes the Visier Insurance Schedule (“Insurance Schedule”) referenced in the Visier Master Software as a Service Agreement entered into by and between Visier and Customer (“MSA”). This Insurance Schedule is governed by the MSA and all provisions of the MSA apply to this Insurance Schedule. If there is any conflict between this Insurance Schedule and the MSA, the MSA will prevail respect to matters within its scope. Capitalized terms not otherwise defined herein have the meanings ascribed to them in the MSA. For purposes of this Insurance Schedule, the terms “We/we”, “Us/us”, and “Our/our” shall refer to Visier, and the terms “You/you” and “Your/your” shall refer to Customer.

We will maintain insurance coverage throughout the applicable term that meets or exceeds the levels described in this Insurance Schedule. For the avoidance of doubt, the policy limits described herein do not limit our liability to you under the Agreement. From time to time, we may modify this Insurance Schedule by posting the new terms on Visier’s Trust Site, provided that the coverage types and policy limits described herein will not be reduced during the applicable term. We will maintain all insurance policies with recognized insurance carriers with an A.M. Best rating of “A-“ or better and will be lawfully authorized to do business in the jurisdictions in which we operate the SaaS Services. Policies providing insurance on a “claims made” basis will have continuity beginning on a date no later than the Effective Date and will be maintained (or replaced with equivalent policies) during the term and for at least three (3) years thereafter.
